Service Agreement

1. Introduction

This Service Agreement (“Agreement”) is made and entered into by and between Tazeet Prep (“Service Provider”), a warehouse service provider, prep center, and third-party logistics (3PL) service provider, and the undersigned client (“Client”). This Agreement sets forth the terms and conditions under which the Service Provider will provide services to the Client.

2. Defination

  • Service Provider: Refers to Tazeet Prep, including its employees, agents, and affiliates.
  • Client: Refers to the individual or entity utilizing Tazeet Prep’s services.
  • Goods: Any products, materials, or items stored, prepared, or managed by Tazeet Prep on behalf of the Client.

3. Service Provider

Tazeet Prep offers the following services to the Client:

  • Warehouse Services: Storage and management of the Client’s Goods.
  • Prep Center Services: Preparation of Goods for shipment, including labeling, packaging, and other related tasks.
  • 3PL Services: Comprehensive third-party logistics solutions including transportation, fulfillment, and distribution.

4. Client Responsibilities

  • Accurate Information: The Client must provide accurate and complete information regarding the Goods, including but not limited to description, quantity, and value.
  • Compliance: The Client must ensure that all Goods comply with applicable laws and regulations, including those related to safety, labeling, and transportation.
  • Payment: The Client agrees to pay all fees and charges for the services provided by Tazeet Prep in a timely manner as outlined in the service agreement.
  • Prohibited Items: The Client must ensure that no prohibited items, as outlined in Section 12 of this Agreement, are provided to Tazeet Prep.

5. Service Provider Responsibilities

  • Care of Goods: Tazeet Prep will exercise reasonable care in the handling and storage of the Client’s Goods.
  • Timely Service: Tazeet Prep will endeavor to perform all services in a timely manner as per the agreed schedule.

6. Fees & Payment Terms

  • Fees: The Client agrees to pay the Service Provider the fees outlined in the service agreement. These fees may include, but are not limited to, storage fees, handling fees, and transportation fees.
  • Payment Terms: Payment is due within thirty (30) days from the date of invoice, unless otherwise specified in the service agreement. Late payments may incur additional charges.

7. Liability & Insurance

  • Limitations of Liability: Tazeet Prep’s liability for any loss, damage, or destruction of Goods is limited to the value declared by the Client or as specified in the service agreement.
  • Insurance: The Client is responsible for obtaining adequate insurance coverage for their Goods.

8. Indemnification

The Client agrees to indemnify and hold Tazeet Prep harmless from any claims, damages, or expenses arising out of the Client’s use of our services, including any breach of this Agreement.

9. Termination

  • Termination by Either Party: Either party may terminate the service agreement with thirty (30) days’ prior written notice.
  • Termination for Breach: Tazeet Prep reserves the right to terminate the service agreement immediately if the Client breaches any terms of this Agreement.
  • Post-Termination Obligations: Upon termination, the Client must promptly remove all Goods from Tazeet Prep’s premises.

10. Governing Law

This Agreement is governed by and construed in accordance with the laws of the United Arab Emirates (UAE).

11. Amendments

Tazeet Prep reserves the right to amend this Agreement at any time. Any changes will be communicated to the Client in writing. Continued use of our services after any amendments constitutes acceptance of the new terms.

12. Prohibited Items

Tazeet Prep strictly adheres to the laws and regulations of the UAE. The following items are prohibited and will not be accepted for storage, preparation, or any other service:

  • Firearms and Ammunition: Including but not limited to guns, rifles, pistols, bullets, and any other related equipment.
  • Illegal Drugs and Narcotics: Including but not limited to controlled substances, recreational drugs, and any related paraphernalia.
  • Pornographic Material: Including but not limited to explicit content, obscene materials, and any other related products.
  • Hazardous Materials: Including but not limited to explosives, toxic substances, and any other materials that pose a risk to health, safety, or the environment.
  • Counterfeit Goods: Including but not limited to fake or replica items that infringe on intellectual property rights.
  • Stolen Goods: Any items that are reported as stolen or are suspected to be obtained through illegal means.
  • Endangered Species and Products: Including but not limited to ivory, animal skins, and any other items derived from protected or endangered species.
  • Other Prohibited Items: Any other items that are prohibited under UAE law or deemed inappropriate by Tazeet Prep.

The Client is responsible for ensuring that no prohibited items are provided to Tazeet Prep. Any violation of this term may result in immediate termination of services, reporting to the relevant authorities, and any other legal action deemed necessary.

13. Miscellaneous

  • Force Majeure: Tazeet Prep is not liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, acts of war, or labor disputes.
  • Entire Agreement: This Agreement constitutes the entire agreement between the Client and Tazeet Prep regarding the services provided. Any prior agreements, understandings, or representations are superseded by this Agreement.
  • Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
